Based on the
video, we can see that before start the meeting, the secretary must prepare
everything needed by member of the meeting, such as prepare the article, the
materials which will be discussed in the meeting, a glass of water for each
member of meeting, maybe the projector which will be used later, etc. The
secretaries may be the ones who do this job, but the overall responsibilities
of the meeting still held by the directors.
About
the articles, directors should know what their articles say on this and the model
matters. The model articles enforce when your company is registered will apply
to the extent by not being modified for your company. This can be done when the
company is formed or by the shareholders later. It would be better if the
members of the meeting have already had the copy of the articles and already
read it before the meeting start. If they haven’t, it is surely the duty of
secretary to copy and distribute it to the members of meeting.
In
a meeting, it’s likely that to a large extent you can make your own rules.
There will be something about quorums – you can’t have a meeting unless a
certain number of directors are present. Make sure that everyone should have a
chance to be there. You could probably delegate to a committee that this board
with three directors probably not too bad. The directors can choose the chair
and the chair probably has a casting vote. It’s very likely that different
directors do not agree, the majority of you will prevail.
Then,
the man (director) in the video tells us about what makes a good board meeting
based on his opinion: dates fixed well in advance; get away from interruptions;
prepare well and circulate documents in advance; ensure the minutes are taken;
and have an effective chair.
The
frequency of board meetings is really important. Directors can have as many or
as few meetings as they wish. Every company must have at least one meeting a
year, even a dormant company. You have to schedule the dates of your board
meetings well in advance. Try to avoid unnecessary interruptions. The agenda or
any documents, such as director reports, budgets and management accounts should
be circulated well in advance.
Finally,
have a good chair is amazing. The chair should be efficient, ensure the meeting
runs to the agenda, and bring out the best of all present at the meeting,
ensuring each person is allowed to put over their point of view.
